    If there's no other possible reason, then this method of tax avoidance is it.

      I've had private equity clients, but never had a hedgie that would use the incentive fee set-up.  So while I have a really good idea of what the incentive fee structure looks like, but I haven't been exposed to enough of their universe to know if that's the only use for an offshore corporation like this.

        for endowments and other tax-exempt entities, so alot of times even a domestic fund will have an off shore partner to accomodate the tax-exempts.  I don't know if any of his LPs were exempts, but that would justify the off shore situs of the fund itself, not the manager
