    The important thing is to note that ESOPs are not vehicles for simple altruism (anymore than charitable trusts or other wealth protection measures are).  They're also only beneficial to all parties under certain circumstances, and employee ownership transitions in fact may be detrimental compared to a straight sale.  Circumstances and the nature of the business in this diary suggest a good outcome for all involved; plus you get a feel good story about American capitalism.
