    is a way for the investors and principals to evade responsibility for the action of the company, "defray risk".
    Basically corporations are conspiracies and the officers and investors are co-conspirators.

    If I ran this circus, things would be DIFFERENT!

      Yes, Corporations are entitities designed to defray risk.  But, they are authorized by state law.  The States believe allowing limited liability entities will encourage business formation, increase commerce and also tax revenue.  And, they're right it does all of these things.  So, to complain about the limited liability aspect of them --- when they are expressly designed to function that way by the government's authorizing legislation is a bit cheesy.
