Corporate law is the birthplace of corporations.
Here is where legal abortions can be performed, and reforms can restructure corporations to suit their natural purpose.
Some people want a constitutional Amendment to overturn citizens united.
I’m not sure a constitutional amendment is the answer because,
1:The Supreme court may reverse itself.
2: anti-trust decisions could break up large corporations so they focus on competition and not control of the populace and government.
3: Federal corporate is the framework in which corporations exist.
Government confers benefits upon corporations and those that operate it, protection from personal liability for the losses and mistakes of the corporation.
Government controls it, government can change the corporate law.
A re-write of corporate law could change the following:
1: The just-for-Profit and nothing else mandate that publically traded companies -must- follow- to "Maximize shareholder value". This is the legal mandate that requires that greed must prevail.
There are other models of corporate values like the “Triple Bottom Line. 1: Profit, 2: social good, 3: stewardship of the environment.
2: Hybrid models somewhere between just-for-profit and public utilities would be a comfortable and required place for some businesses to operate.
3: Corporations like Pharmaceuticals, news providers, farms, hoppitals, clinics, etc should not be permitted to operate primarily for profit, rather their existence and tax rates would depend on their operation primarily for the public good.
4: Too big to fail: Companies should either be broken up, or be operated as regulated public utilities. Thats a function of corporate anti-trust law, or new corporate law.
5: The tax rates for corporations would depend on the success of their mission/social good, and the quality and fairness of the work environment and reasonableness and normality of the wages benefits and conditions.
6: Corporations are a shield for the mistakes and wrong-doing of those operating them. These protections can be relaxed, requiring accountability for the safe fair and honest operation of the company in the interest of its social purpose.
7: The status of a Corporation is granted by the government and there is no absolute right to be free to enjoy the benefits of being a corporation without accountability and responsibility to society.
8: Corporate law recognizes such entities as Superpacs, and the like. The government created these designations, and it can eliminate them.
These measures would not only reduce corporate greed, and eliminate shady corporations, but strengthen the workforce and help restore economic and social justice.
